Strategic direction is defined by the General Assembly and the Board of Directors, while the Secretariat manages day-to-day operations with guidance from committees and the Advisory Council.

General Assembly
All paying members
The General Assembly is the highest authority of IDA, representing the collective voice of our worldwide membership. It provides a platform for all paying members to participate in high-level priority setting and strategic oversight.
Responsibilities

Approving major amendments to organizational bylaws

Reviewing annual reports and financial statements

Setting the overarching strategic direction for the alliance
The General Assembly meets once per year
Board of Directors
Strategic oversight
The Board of Directors is the primary governing body, providing strategic leadership and fiduciary oversight to ensure the alliance achieves its long-term goals. The Board meets at least quarterly.

Ensuring legal and financial compliance
The Board consists of up to 15 members representing diverse geographic regions and sectors of global health. Members are elected for three-year terms by the General Assembly.
The Board is led by the Executive Chair, who facilitates strategic communication between the Board and the Secretariat.

Presidium
Board subgroup
The Presidium serves as an executive subcommittee of the Board, authorized to make rapid decisions on urgent matters between full Board meetings. It ensures agility and continuity in the Alliance's leadership.
Responsibilities

The Advisory Council is a body of globally recognized experts who provide technical and strategic advice to the Board and Secretariat. While they do not have formal decision-making power, their guidance is essential for ensuring that IDA’s work remains scientifically sound and practically relevant.
